Terms of Service

1. Acceptance of Terms

By accessing or using Ayorva's website, applications, or services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of a clinic, practice, or organisation, you represent that you have authority to bind that entity. If you do not agree, do not use the Platform.

2. Description of Services

Ayorva provides (a) a public directory and booking interface for patients to find clinics and book appointments, and (b) a dashboard and tools for clinics and healthcare providers to manage appointments, patients, prescriptions, and related operations. We may also send confirmations and reminders via WhatsApp, SMS, or email. We reserve the right to modify, suspend, or discontinue any part of the services with reasonable notice where practicable.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Platform. Use of the Platform from jurisdictions where it is illegal or prohibited is not permitted. Clinics and providers must hold valid licences and authorisations required to practise and list their services.

4. User Accounts and Conduct

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to:

  • Provide accurate and current information and update it as needed.
  • Not impersonate any person or entity, or misrepresent your affiliation.
  • Not use the Platform for any unlawful or fraudulent purpose.
  • Not upload malicious code, attempt to gain unauthorised access, or disrupt the Platform.
  • Comply with all applicable laws and regulations, including those governing healthcare and data protection.

5. Bookings and Healthcare Relationship

The Platform facilitates discovery and booking only. The healthcare relationship is solely between the patient and the clinic or provider. Ayorva is not a healthcare provider and does not provide medical advice, diagnosis, or treatment. We do not guarantee the quality, suitability, or outcome of any consultation or treatment. Patients are responsible for verifying the credentials and suitability of providers; clinics are responsible for the care they deliver and for maintaining appropriate records and consents.

6. Fees and Payments

Use of the public directory and booking may be free for patients. Clinics may be subject to subscription or usage fees as per their plan. Payment terms, refunds, and cancellations for clinic subscriptions are governed by the applicable plan and any separate agreement. Appointment fees and charges are between the patient and the clinic; Ayorva may facilitate payment collection in certain cases as described at the time of booking.

7. Cancellation and No-Show

Cancellation and no-show policies are set by individual clinics. Patients should cancel or reschedule through the Platform or as instructed by the clinic. Ayorva may send reminders but is not responsible for patient or clinic no-shows.

8. Intellectual Property

All content, features, and functionality of the Platform (including but not limited to software, text, logos, and design) are owned by Ayorva or its licensors and are protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works without our prior written consent. You retain ownership of content you submit; you grant us a licence to use it as necessary to operate and improve the Platform.

9. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Platform, you consent to such processing.

10. Disclaimers

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. USE IS AT YOUR SOLE RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AYORVA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED INDIAN RUPEES (INR 100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM PERMITTED BY LAW.

12. Indemnity

You agree to indemnify, defend, and hold harmless Ayorva and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights or law.

13. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause or notice, including for breach of these Terms. You may stop using the Platform at any time. Upon termination, your right to use the Platform ceases; provisions that by their nature should survive (including disclaimers, limitation of liability, indemnity, and governing law) will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of India. We encourage you to contact us first to resolve any concern informally.

15. Changes

We may update these Terms from time to time. We will post the revised Terms on the Platform and update the "Last updated" date. Material changes may be communicated via email or a notice on the Platform where required. Continued use after changes constitutes acceptance. If you do not agree, you must stop using the Platform.
